THIRD-PARTY SOFTWARE AND SERVICES

The KITABOO platform and its associated products (including KITABOO Reader, KITABOO Studio, KITABOO Fluid 360, and K.AI) utilise certain third-party software, infrastructure, and services in the delivery and operation of the platform. The third-party providers applicable to a particular KITABOO product or service may vary depending on the functionality, configuration, hosting environment and services subscribed to by the customer.

The following third-party services may be used in connection with KITABOO products and services, as applicable:

Service Provider Purpose
Amazon Web Services (AWS) Cloud infrastructure, hosting, content delivery, data storage, and computing services.
AWS provides the underlying infrastructure upon which the KITABOO platform is hosted and operated.
Snowflake Inc. Cloud-based data warehousing and analytics. Used for aggregation, storage, and processing of platform analytics, usage data, and reporting.
Elasticsearch B.V. Search engine technology. Used to power content search, indexing, and retrieval capabilities within the KITABOO platform and reader applications.
Anthropic PBC (Claude AI) Artificial intelligence services. Used within KITABOO Fluid 360 and K.AI to provide AI-assisted capabilities including content tagging, reading-order detection, image extraction, alt-text generation, TOC generation, quiz generation, and folio number detection.

Note: BookIT reserves the right to add, replace, or remove third-party service providers at its discretion, provided that such changes do not materially diminish the functionality, security, or data protection commitments of the KITABOO platform. BookIT may replace a third-party provider with an alternative provider providing substantially equivalent services or functionality without requiring customer consent.

Applicability of Third-Party Terms. Your use of the KITABOO platform is subject to these Terms and Conditions. The third-party services listed above are governed by their respective terms of service, privacy policies, and data processing agreements as entered into between BookIT and each provider. BookIT is responsible for ensuring through appropriate contractual and operational measures that its use of such third-party services is consistent with the commitments expressly applicable to BookIT under these Terms and the applicable customer agreement. Third-party service providers are not parties to these Terms or the applicable customer agreement, and BookIT shall not be responsible for the independent acts, omissions, service interruptions or failures of any third-party provider.

No Direct Relationship. Your use of the KITABOO platform does not create any direct contractual relationship between you and any third-party service provider listed above. All interactions with third-party services occur through the KITABOO platform and are governed by these Terms and the applicable customer agreement with BookIT.

Changes to Third-Party Services. BookIT reserves the right to add, replace, or remove third-party service providers at its discretion, provided that such changes do not materially diminish the functionality, security, or data protection commitments of the KITABOO platform. Material changes to the third-party services that affect data processing or security will be communicated to customers in advance where reasonably practicable.

KITABOO FLUID 360 — INTELLECTUAL PROPERTY AND OWNERSHIP
Platform Ownership

The KITABOO Fluid 360 platform and its underlying technology are the exclusive property of BookIT Digital Technologies Pvt. Ltd. This includes, without limitation:

  • The core platform architecture, source code, and user interface.
  • The content transformation and conversion technology.
  • The authoring, editing, and workflow capabilities.
  • all proprietary algorithms, processes, and components developed by BookIT; and
  • All improvements, modifications, and derivative works of the foregoing, whether developed independently by BookIT or in connection with customer engagements.

Nothing in these Terms or in any customer agreement shall be construed as transferring any intellectual property rights in the KITABOO Fluid 360 platform or its underlying technology to any customer, partner, or third party.

Customer Content Ownership

All content, data, and materials uploaded, created, or processed by a customer through the KITABOO Fluid 360 platform (“Customer Content”) shall remain the exclusive property of the customer. BookIT does not claim any ownership rights in Customer Content. The customer represents and warrants that it has obtained all rights, licences, permissions and consents necessary for BookIT to access, process, reproduce, transform, transmit and otherwise use the Customer Content as necessary to provide the applicable services.

BookIT’s right to access and process Customer Content is limited to the purpose of providing the services described in the applicable customer agreement and these Terms. Upon termination of the customer agreement, BookIT shall, at the customer’s election, return or delete Customer Content in accordance with the terms of the applicable agreement.

AI USAGE

As part of KITABOO’s digital content processing workflow, Artificial Intelligence (“AI”) technologies may be employed across the following product areas:

KITABOO Platform (Content Conversion and K.AI)

(a) Table of Contents Generation. During bulk conversion of content, AI may be utilised to scan input PDF documents and identify potential table of contents pages, as well as automatically detect folio numbers, in instances where the input PDF does not include a TOC sheet or bookmarks.

(b) Quiz Generation (K.AI Add-on). If the K.AI add-on feature is enabled, page content may be indexed to enable AI-generated quizzes, flashcards, summaries, and learning objectives based on the content of the eBook.

(c) Folio Number Detection. AI may be used to identify and align folio numbers from the original input file during the conversion process.

KITABOO Fluid 360 (AI-Assisted Content Processing)

In addition to the capabilities described above, the KITABOO Fluid 360 platform employs AI-assisted processing to enhance the quality and accessibility of customer content. AI-assisted capabilities within Fluid 360 include, but are not limited to:

(a) Content Tagging. Automated identification and tagging of content elements including headings, paragraphs, lists, tables, figures, and other structural components.

(b) Reading-Order Detection. AI-assisted determination of the logical reading order of content elements within a page or document, to support accessibility and proper content flow in the output format.

(c) Image Extraction and Processing. Automated identification, extraction, and processing of images, figures, charts, and other visual elements from source documents.

(d) Alt-Text Generation. AI-assisted generation of alternative text descriptions for images and figures to support accessibility compliance (including WCAG 2.2 AA standards).

(e) Table Recognition and Conversion. AI-assisted recognition of tabular data within source documents and conversion into structured, accessible table formats.

Limitations and Responsibilities
  • All AI-generated outputs, including but not limited to table of contents, quizzes, content tags, reading order, and alt-text descriptions, are provided as preliminary outputs and may contain inaccuracies, omissions, or errors.
  • The accuracy of AI-generated outputs is not guaranteed. It is the responsibility of the customer, or designated production personnel, to review, validate, and make any necessary corrections before the content is made available to end users.
  • The use of AI within the KITABOO platform is strictly limited to the specific functionalities described in this section and the applicable customer agreement.
  • To the extent AI-assisted outputs are generated specifically from Customer Content, such outputs shall be treated as Customer Content for purposes of the applicable customer agreement, subject to BookIT’s ownership of the underlying KITABOO platform, technology, algorithms, tools, models, processes and other BookIT intellectual property used to generate such outputs.
CONTENT SECURITY AND PRIVACY

KITABOO is committed to safeguarding the confidentiality and integrity of customer content throughout all processing workflows, including AI-assisted processing:

General Principles

(a) Purpose Limitation. Customer content is utilised solely to provide the services and functionality described in these Terms and the applicable customer agreement. Content is not processed, analysed, or used for any purpose beyond delivering the requested services.

(b) No Model Training. Customer content is not used to train, fine-tune, or improve any AI or machine learning models, whether operated by BookIT or by third-party AI providers. Customer content is processed for inference purposes only — to generate the requested output — and is not retained by AI systems beyond the duration necessary to complete the specific processing task.

(c) Confidentiality. All content processed through the KITABOO platform, including content processed using AI-assisted capabilities such as content tagging, reading-order detection, image extraction, alt-text generation, table of contents generation, quiz generation, and folio number detection, is treated as strictly confidential. Customer content shall not be disclosed to or made available to third parties except to BookIT’s authorised employees and third-party cloud infrastructure providers where reasonably necessary to provide the applicable services, and subject to appropriate confidentiality, security and data protection obligations set out herein.

(d) Restricted AI Exposure. Customer content is not exposed to AI modules, services, or systems beyond the specific scope of the functionality described in these Terms. AI processing is sandboxed to the requested operation and does not result in content being stored in, indexed by, or accessible to AI systems for any unrelated purpose.

(e) Private Infrastructure. All AI processing is conducted using secure infrastructure within controlled environments. Where third-party AI services are utilised (as described in the Third-Party Software and Services section), such services are accessed through private, authenticated API connections with contractual data protection commitments in place between BookIT and the service provider.

Data Isolation

(f) Client Segregation. Customer content is logically segregated from the content of other KITABOO clients at all stages of processing, storage, and delivery. No customer’s content is commingled with, accessible to, or visible to any other customer.

(g) Processing Ephemerality. Content submitted to AI-assisted processing modules is processed in real time or near-real time. Transient data generated during AI processing (such as intermediate representations or processing artefacts) is not persisted beyond the completion of the processing task, except where the output is explicitly stored as part of the customer’s project within the KITABOO Fluid 360 platform.

Customer Rights

(h) Audit and Inquiry. Customers may, upon reasonable written request, inquire about the specific AI processing applied to their content, the third-party services involved, and the data protection measures in place. BookIT shall respond to such inquiries within a reasonable timeframe.

(i) Opt-Out. Where AI-assisted processing is optional (such as the K.AI add-on or AI-assisted alt-text generation), customers may elect not to enable such features. Where AI-assisted processing is integral to the core functionality of the service (such as content transformation within Fluid 360), customers will be informed of such processing prior to commencement of services.

CUSTOMER RESPONSIBILITIES

The customer is responsible for:

   (a) Ensuring that it has all rights, licences, permissions and consents necessary for BookIT to process Customer content.

   (b) Ensuring that Customer content does not infringe any third-party intellectual property, privacy, confidentiality or other rights.

   (c) Reviewing and approving Customer content and all AI-assisted or automated outputs before publication or distribution.

  (d) maintaining appropriate copies and backups of Customer Content; and

  (e) Ensuring that its use of the KITABOO platform complies with applicable laws and the applicable customer agreement.

SEVERANCE

If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.

GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the law of India and you hereby submit to the exclusive jurisdiction of the Indian courts.

By using the KITABOO platform, you acknowledge and accept the terms described above, including the use of third-party services, AI-assisted processing, and the intellectual property and confidentiality provisions set forth herein. KITABOO reserves the right to update these Terms and Conditions from time to time to reflect technological advancements, changes in third-party service providers, or regulatory requirements. Material changes will be communicated to active customers in advance where reasonably practicable. Changes to these Terms shall not modify or override any express contractual rights or obligations agreed under an existing written customer agreement unless expressly agreed in writing by the parties.
